SEC Corporate Attorney / Assistant Corporate Secretary

Location: Plano, Texas Corporate office (in-office position, not remote)

JOB PURPOSE: Provide hands-on, proactive and results-focused support to the General Counsel and Corporate Secretary on all matters relating to the SEC advisory and corporate secretarial functions for a U.S. public company, including corporate governance, securities filings, insider trading compliance, boardmeetings, proxy statements, annual meetings, disclosures, director compensation, subsidiary management, and related drafting, researching and record-keeping. Also support the Company’s Ethics & Compliance program, corporate transactions and additional corporate matters. 

KEY RESPONSIBILITIES:

  • Provide hands-on leadership for the company’s annual stockholders meeting, including the proxy statement, meeting logistics and annual D&O questionnaires.

  • Actively assist with Board of Directors meeting matters, including minutes, agendas, preparation of materials, coordinating with internal stakeholders and assembling/posting meeting books.

  • Partner with Human Resources to assist with cash and equity awards related to Director compensation and related compliance.

  • Review, maintain and recommend changes to Board Committee charters and other governance documents, manage Board annual self-evaluations and maintain updated investor relations website related to corporate governance.

  • Manage the process, including partnering with Human Resources, for Section 16 compliance/Form 4s and insider Edgar code maintenance and tracking equity transactions and stock ownership guideline compliance.

  • Serve as the primary support, along with the General Counsel, for the Company’s insider trading policy compliance program.

  • Assist with various matters in connection with the company’s earnings and other public disclosures and SEC filings.

  • Provide support and leadership for the Company’s Ethics & Compliance program.

  • Maintain subsidiaries, resolutions, certificates and minute books and manage external vendors (CT Corporation)

  • Support the Company’s intellectual property management processes, including to protect trademarks and copyrights.

  • Support corporate transactions as applicable.

  • Oversee the Company’s relationship and engagement of its transfer agent.

  • Support various other corporate matters.

  • Organize and maintain hard copy and electronic legal and compliance records, calendars and other organizational systems with regard to all areas of responsibility.

  • Work collaboratively with key internal departments, including Financial Reporting, Human Resources, Payroll and Tax.

  • Conduct research and draft legal and other documentation as applicable.

  • Maintain competency through seminars, workshops, and professional affiliations to keep abreast of latest developments.

  • Assist with various other law department responsibilities as assigned by the General Counsel

JOB REQUIREMENTS:

  • J.D. from an accredited U.S. law school

  • Licensed to practice law in the state of Texas

  • 3-5+ years U.S. public company/corporate/SEC legal and regulatory experience

  • Significant in-house and/or law firm experience aligned with the key responsibilities of the position

  • Strong work ethic, self-motivation and professional commitment

  • Ability to work independently under general direction, with latitude for initiative and independent judgment

  • Effectively and professionally work with and help manage outside counsel, including expense management

  • Proficiency in MS Office (Word, Excel and PowerPoint) and knowledgeable, or willing to learn, about legal technology to generate efficiencies, including AI tools

  • Excellent time management and follow-through skills with ability to prioritize work

  • Must be meticulous, collaborative, ethical and resourceful with high desire to continually learn and grow in the position

  • Attention to detail with strong organization and problem-solving skills 

  • Excellent written and verbal communication skills

  • Ability to regularly handle sensitive internal information and maintain strict confidentiality

  • Ability to work in-office five days/week from the company’s Plano, TX corporate office

  • Position may require periodic travel
